1. Introduction

2. Regulatory Status

CORETECH GLOBAL PAYMENT INC operates as a Money Services Business and is subject to applicable anti-money laundering and counter-terrorism financing ("AML/CTF") laws and regulations.

We are not a bank and do not accept deposits as a banking institution.

3. Services

We provide the following services, subject to regulatory requirements:

• Payment gateway and payment acceptance solutions
• Domestic and cross-border remittance services
• Foreign exchange (FX) conversion and settlement

All services are provided subject to internal risk assessments, regulatory obligations, and partner availability.

4. Eligibility and Onboarding

You must:

• Be at least 18 years old (for individuals), or a legally registered entity (for businesses)
• Successfully complete all required onboarding procedures, including Know Your Customer (KYC) or Know Your Business (KYB) verification

We reserve the right to decline any application at our discretion.

5. Customer Due Diligence & Ongoing Monitoring

You agree that:

• We may conduct identity verification, screening, and due diligence checks at onboarding and on an ongoing basis
• We may request additional information or documentation at any time
• Transactions may be monitored, reviewed, delayed, blocked, or reported to regulators where required

Failure to comply may result in suspension or termination of services.

6. Permitted Use and Prohibited Activities

You agree not to use our services for:

• Any unlawful, fraudulent, or deceptive activity
• Transactions involving sanctioned individuals, entities, or jurisdictions
• Any activity that violates applicable AML/CTF laws

We reserve the right to restrict or refuse services where risk is identified.

7. Transaction Processing

• Transaction processing times are indicative and may vary depending on payment method, jurisdiction, and third-party providers
• We do not guarantee uninterrupted or error-free service
• Transactions may be delayed, rejected, or cancelled due to compliance, risk, or operational reasons

8. Fees, FX Rates, and Pricing

• All applicable fees, charges, and FX rates will be disclosed prior to transaction confirmation
• FX rates may include a margin
• We reserve the right to revise pricing with prior notice where applicable

9. Settlement and Funds Handling

• Settlement timelines vary depending on service type and partner institutions
• Funds may be processed through regulated banking or payment partners
• Where applicable, customer funds are held in safeguarded or designated accounts in accordance with regulatory requirements
• We do not guarantee immediate availability of funds

10. Safeguarding and Risk Disclosure

While we implement safeguards in line with regulatory expectations, funds held with us:

• Are not deposits
• May not be covered by deposit insurance schemes
• Are subject to operational and counterparty risks

11. Suspension, Restriction, and Termination

We may suspend, restrict, or terminate your access to services without prior notice if:

• You breach these Terms
• Required information or verification cannot be obtained
• We detect suspicious, high-risk, or prohibited activity
• Required by law, regulation, or competent authority

12. Record Keeping and Reporting

We maintain records and may disclose information:

• To regulators, law enforcement, or competent authorities as required by law
• For the purposes of AML/CTF compliance and audit

You acknowledge that such disclosures may occur without prior notice where legally required.

13. Limitation of Liability

To the fullest extent permitted by law, CORETECH shall not be liable for:

1. Indirect, incidental, or consequential losses
2. Losses arising from delays, interruptions, or failures caused by third parties, financial institutions, or external systems
3. Actions taken in compliance with legal or regulatory obligations

14. Indemnity

You agree to indemnify and hold harmless CORETECH from any claims, losses, or damages arising from:

1. Your breach of these Terms
2. Your misuse of the services
3. Your violation of applicable laws or regulations

15. Data Protection and Privacy

We process personal data in accordance with applicable data protection laws and our Privacy Policy.

Data may be shared with regulators, financial institutions, and service providers for compliance and operational purposes.

16. Amendments

We may amend these Terms from time to time to reflect regulatory, legal, or operational changes. Updated Terms will be published on our website, and continued use constitutes acceptance.

17. Governing Law and Jurisdiction

These Terms shall be governed by the laws of Ontario, Canada. Any disputes shall be subject to the exclusive jurisdiction of the courts of that jurisdiction.
